Ms. Clarke is a corporate and securities lawyer admitted in New York and New Jersey. Ms. Clarke concentrates her practice on securities and transactional matters, particularly in respect of international transactions and clients. She has significant experience in cross-border transactions, securities offerings (including private placements, secondary offerings, PIPEs, registered direct offerings, foreign private issuer and hedge fund offerings), mergers and acquisitions, corporate governance and counseling (including broker-dealer operations and regulation) and all aspects of private and public company representation.

Ms. Clarke has experience in technology joint ventures, software service agreements, operating and partnership agreements, shareholders agreements, and similar joint venture arrangements.
